Terms of Service – Consultations and Strategy Sessions

1. Nature of our services

1.1 Strategic and educational focus

Our Sessions are designed to help you understand your situation, explore options and make more informed decisions. Tax advice in a Session is provided by NeoRise Advisory Pty Ltd as a registered tax agent, and business advice is provided based on the information you choose to share with us. Property, lending, superannuation (including SMSF) and investment matters are discussed as general information only.

1.2 No personal financial product advice

Our Sessions do not include personal financial product advice as defined under the Corporations Act 2001 (Cth). In particular, we do not recommend or arrange specific financial products (for example, particular managed funds, shares, superannuation or insurance products) or specific credit products. 1.3 No guarantee of outcomes

We do not guarantee any particular financial, business or investment outcome, profit, return or result. Decisions you make and actions you take following a Session are your responsibility.

2. Professional capacity

2.1 Professional background

Sessions are conducted by Armin Hashemi, a Certified Practising Accountant (CPA) and authorised Public Practitioner, or by suitably qualified team members under his supervision.

2.2 Tax and business services

Paid Strategy Sessions, and any tax agent services (including tax advice), are provided by NeoRise Advisory Pty Ltd (ABN 77 696 227 102), a registered tax agent (registration number 26357549). Business advisory services under the NeoRise.ai name are provided by NeoRise Consulting Pty Ltd (ABN 11 684 267 678), which is not a registered tax agent and does not provide tax advice. We may also work in conjunction with other registered tax agents or accounting practices where appropriate.

2.3 Use of other professionals

Where your plan involves areas outside our scope – such as legal documentation, licensed financial product advice or regulated credit products – we may recommend that you seek advice from a suitably qualified professional (for example, a solicitor, licensed financial adviser or mortgage broker). Any engagement with such professionals is a separate relationship between you and them.

3. Your responsibilities

You agree that:

• You will provide information that is true, complete and not misleading.
• You understand that our analysis and suggestions rely on the information you provide.
• You are responsible for reviewing any strategies or options in light of your own circumstances and, where appropriate, seeking further independent tax, legal, lending or financial advice before acting.

4. Booking, fees and payment

4.1 Session fee

The fee for a Strategy Session is the amount shown on the booking page at the time you book (including GST), payable to NeoRise Advisory Pty Ltd.

4.2 Payment

Payment is generally required at the time of booking via our nominated payment platform (such as Stripe, integrated through Calendly or another booking system). Your booking is not confirmed until payment has been received.

4.3 Changes to fees

We may change our fees at any time. The fee applicable to you is the fee displayed at the time you complete your booking.

5. Rescheduling, cancellations and refunds

5.1 Rescheduling by you

You may reschedule a Session at least 48 hours before the scheduled time using the rescheduling options in the booking system. Rescheduling within 48 hours may not be possible and may be treated as a cancellation.

5.2 Cancellations by you

• Cancellations made more than 7 days before the Session time may be eligible for a refund or credit at our discretion.
• Cancellations made within 7 days of the Session time are generally non-refundable, but we may offer a credit towards a future Session in limited circumstances.

5.3 Cancellations or rescheduling by us

If we need to cancel or reschedule a Session for any reason, we will give you as much notice as reasonably possible and offer either a replacement time or a full refund of the Session fee.

6. Implementation credit

6.1 Credit towards implementation services

As described on our website from time to time, if you commence an eligible implementation service with us or our related entities within 60 days of your Session (for example NeoRise.ai business advisory services, or NeoRise Advisory accounting packages), we may credit up to 100% of your Session fee towards your first invoice for that service.

6.2 Eligibility and limits

• The specific services that qualify for a credit, and the amount credited, will be described on our website or in your proposal at the time you commence the service.
• A credit cannot be redeemed for cash and is not transferable.
• If you do not commence an eligible service within the specified period, no credit will apply.

7. Use of tools, data and assumptions

7.1 Analytical tools

In Sessions we may use tools such as PropSight or other software to model scenarios and cashflows. These tools rely on assumptions, data and interest rate or market information that may change over time.

7.2 No guarantee of data accuracy

While we take reasonable care in using these tools, we do not guarantee that any projections, forecasts or estimates produced are accurate or will reflect actual future results.

8. Property and lending discussions

8.1 Numbers and strategy only

In relation to property, our role is to help you understand numbers, structures, tax implications and strategic options. Property discussions are general information only, except tax advice provided by NeoRise Advisory Pty Ltd as a registered tax agent. We do not sell, find or source property, act as a real estate agent, or provide valuation services.

8.2 Lending and credit products

We do not provide licensed credit advice. Where lending or credit products are relevant (for example, home loans, investment loans or refinancing), we may suggest questions to discuss with a licensed mortgage broker or lender. Any decision to apply for or take out credit is made between you and the lender or broker.

9. Limitation of liability

9.1 No liability for indirect or consequential loss

To the maximum extent permitted by law, we are not liable for any indirect, special or consequential loss, or for loss of profit, revenue, opportunity, goodwill or data arising out of or in connection with a Session or these Terms.

9.2 Limitation of direct loss

To the extent we are liable under law that cannot be excluded, our liability is limited, at our option, to:

• resupplying the Session; or
• refunding the Session fee you paid.

9.3 Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law that cannot be excluded, restricted or modified.

10. Intellectual property

All materials we provide to you in connection with a Session – including templates, tools, calculators, models, presentations and written summaries – are our intellectual property. We grant you a personal, non-exclusive, non-transferable licence to use those materials for your own internal purposes. You must not reproduce, distribute or commercialise our materials without our written consent.

11. Confidentiality and privacy

11.1 Confidentiality

We will treat information you share with us in a Session as confidential, except where we are required or permitted by law to disclose it, or where disclosure is reasonably necessary to coordinate with other professionals you have engaged (with your consent).

11.2 Privacy

We collect, use and store your personal information in accordance with our Privacy Policy, available on our website. By booking a Session, you consent to this collection and use.

12. Suitability and no guarantee of fit

You are responsible for determining whether a Session is suitable for your needs. We do not guarantee that a Session will be suitable for your particular situation or that it will address all aspects of your financial, tax, business or property affairs.

13. Changes to these Terms

We may update these Terms from time to time. The version that applies to you is the version displayed on our website at the time you book your Session. We will not retrospectively change the Terms that applied to a Session you have already completed.

14. Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them.
